Constitution of the Valley of the Sun Miniature Bull Terrier Club
Article I: Name and Purpose
Section 1. The name of this organization shall be the Valley of the Sun Miniature Bull Terrier Club (VOTSMBTC), located in Arizona.
Section 2. The purposes of this Club are:
- To promote the health, welfare, and interests of the Miniature Bull Terrier breed according to the standards established by the Valley of the Sun Miniature Bull Terrier Club (VOTSMBTC) https://www.minibullterrierclub.com/.
- To encourage sportsmanlike competition at dog shows sanctioned by the American Kennel Club (AKC) and/or the MBTCA.
- To educate the public about the Miniature Bull Terrier breed in accordance with the MBTCA's public education materials.
- To provide a forum for the exchange of information and fellowship among Miniature Bull Terrier enthusiasts.
Article II: Membership
Section 1. Classes of Membership. The VOTSMBTC shall have the following classes of membership:
- Individual Membership: Open to any person 18 years of age or older with an interest in Miniature Bull Terriers.
- Family Membership: Open to two individuals residing in the same household, at least one of whom is 18 years of age or older, with an interest in Miniature Bull Terriers.
- Junior Membership (Optional): Open to individuals under 18 years of age with an interest in Miniature Bull Terriers, subject to any additional requirements established in the Bylaws, such as parental permission and participation with a parent or guardian in Club activities.
Section 2. Application for Membership. Prospective members shall submit a completed application form provided by the Club and pay the required dues as established by the Bylaws. Current membership fee are $30.00 for an individual - $45.00 per family. Applications will be reviewed by the Membership Committee and approved by a majority vote of the Board of Directors.
Section 3. Termination of Membership. Membership may be terminated for cause by a two-thirds vote of the Board of Directors, following a hearing where the member has the opportunity to be heard. Cause for termination may include, but is not limited to, conduct detrimental to the welfare of the Club, the MBTCA, or the Miniature Bull Terrier breed.
Article III: Meetings
Section 1. Regular Meetings. The Club shall hold regular meetings at least quarterly as determined by the Bylaws. Notice of the time and place of each meeting will be provided to the membership in accordance with the Bylaws.
Section 2. Special Meetings. Special meetings of the membership may be called by the President, by a majority vote of the Board of Directors, or upon written request of one or more members in good standing.
Section 3. Quorum. A quorum for the transaction of business at any meeting of the members shall be two members in good standing.
Article IV: Officers and Board of Directors
Section 1. Officers. The elected officers of the Club shall be President, Vice President, Secretary, and Treasurer. The duties of each officer shall be outlined in the Bylaws and shall be consistent with the MBTCA's recommendations for club officer duties.
Section 2. Board of Directors. The Board of Directors shall consist of the elected officers and two additional members elected by the membership. The Board of Directors shall manage the affairs of the Club in accordance with this Constitution, the Bylaws, and the MBTCA's recommendations for club management.
Section 3. Nominations and Elections. The procedures for nominating and electing officers and directors shall be established in the Bylaws, and shall provide for a fair and transparent process.
Section 4. Vacancies. Any vacancy occurring in an office or on the Board of Directors shall be filled by a majority vote of the remaining Board members until the next general election.
Article V: Committees
Standing committees and special committees may be established by the Bylaws or by a majority vote of the Board of Directors. Committees shall be responsible for such tasks as assigned by the Board of Directors, and their duties may include, but are not limited to, those recommended by the MBTCA for member clubs.
Article VI: Amendments
This Constitution may be amended by a two-thirds vote of the members present at any regular or special meeting, provided that notice of the proposed amendment has been included in the meeting notice.
Article VII: Bylaws
Bylaws may be adopted or amended by a majority vote of the members present at any regular or special meeting. Bylaws will provide additional details on the operation of the Club and will not conflict with this Constitution or the MBTCA's recommendations for member clubs.
Article VIII: Dissolution
In the event of dissolution of the Club, all assets remaining after payment of all debts and obligations shall be donated
